Insight Alpha – Transcript Library Client Terms & Conditions

For purposes of these Terms and Conditions, “Insight Alpha” means Insight Alpha Research & Solutions Limited and/or its applicable affiliates/subsidiaries; “Client” means the legal entity receiving access to the Transcript Library; “Authorized Users” means those employees of Client who are expressly permitted by Client and Insight Alpha to access the Transcript Library; and “Transcript Library” means the online platform, portal, database, repository, player, search interface, download environment, transcript content, summaries, recordings, metadata, tags, AI-enabled tools, and related materials made available by Insight Alpha from time to time. “Transcript Content” includes transcripts, recordings, clips, notes, tags, summaries, Q&A extracts, thematic highlights, expert credentials, and any associated content or materials made available through the Transcript Library.

1. License Grant

Subject to the terms of the governing commercial agreement between the parties, timely payment of all applicable fees, and Client’s continued compliance with these Terms, Insight Alpha grants to Client a limited, revocable, non-exclusive, non-transferable, non-sublicensable right and license to access and use the Transcript Library during the applicable subscription term solely for Client’s internal business, analytical, diligence, knowledge-management, and research purposes. This license is granted only for the specific use case contemplated under the parties’ relationship and does not include any right to commercialize, publish, resell, sublicense, redistribute, or otherwise exploit the Transcript Library or Transcript Content except as expressly approved by Insight Alpha in writing.

The license granted herein is conditioned upon Client’s compliance with all restrictions set forth in these Terms. No access right is granted to any person or entity other than Client and its duly approved Authorized Users. Client acknowledges that access to the Transcript Library is a privilege tied to the applicable subscription, and that no perpetual, irrevocable, or ownership-based right is created by virtue of access, use, or payment.

2. Authorized Users

Access to the Transcript Library shall be limited strictly to Authorized Users who are employees of Client and who require such access for legitimate internal business purposes. Each Authorized User shall access the Transcript Library only through unique login credentials issued or approved for that individual. Shared accounts, pooled credentials, generic team logins, or similar access arrangements are prohibited unless expressly authorized in writing by Insight Alpha.

Client shall be solely responsible for managing its Authorized Users, ensuring that access is promptly disabled when an employee leaves Client, changes role, no longer requires access, or is otherwise no longer eligible for use. Client shall remain fully responsible and liable for all acts, omissions, access, activity, downloads, searches, exports, and uses of the Transcript Library carried out through Client’s accounts or credentials, whether authorized by Client or not. Client shall ensure that all Authorized Users comply with these Terms at all times.

3. Internal Use Only

Client agrees that the Transcript Library and all Transcript Content are provided solely for Client’s internal informational, analytical, strategic, diligence, benchmarking, and research purposes. Client shall not use the Transcript Library or Transcript Content for any external distribution, client-facing advice product, public publication, media dissemination, press content, marketing material, paid report, commercial database, or other outward-facing deliverable unless Insight Alpha has expressly consented in writing.

For clarity, “internal use” does not include use by Client’s external clients, limited partners, portfolio companies, vendors, consultants, affiliates, contractors, outsourced teams, or other third parties unless specifically approved in writing by Insight Alpha. Client shall not use the Transcript Content as a substitute product for any research, transcript, data, insight, content library, or knowledge platform that Client offers or makes available to third parties.

4. Third-Party Sharing Restriction

Except with prior written consent from Insight Alpha, Client shall not share, disclose, circulate, forward, transmit, distribute, make available, or otherwise provide access to any Transcript Content, whether in full or in part, to any third party. This restriction applies regardless of format and includes raw transcripts, recordings, screenshots, clips, notes, summaries, excerpts, highlights, metadata, AI-generated outputs based on Transcript Content, copied text, exports, and derivative materials that substantially reproduce or reveal the substance of the Transcript Content.

Without limitation, third-party sharing is prohibited with respect to affiliates, sister concerns, consultants, advisers, research providers, outsourced teams, expert networks, clients of Client, portfolio companies, board observers, co-investors, placement agents, media personnel, and any external service providers, unless Insight Alpha has first approved such sharing in writing. If Client is legally compelled to disclose any Transcript Content, Client shall, to the extent legally permitted, provide prompt written notice to Insight Alpha so that Insight Alpha may seek protective treatment or other appropriate relief.

5. Intellectual Property Ownership

All right, title, and interest in and to the Transcript Library and Transcript Content, including all related intellectual property rights, copyrights, database rights, trade secrets, know-how, moral rights, platform elements, organization, arrangement, categorization, tagging, indexing, search structure, curation, design, and any improvements thereto, shall remain exclusively with Insight Alpha and/or its licensors, content contributors, or other applicable rights holders. Client receives only the limited right to access and use the Transcript Library as expressly set forth herein, and no ownership, title, or implied license is granted or transferred to Client.

Client acknowledges that the Transcript Library may contain proprietary compilation value, editorial structure, selection logic, metadata enrichment, compliance overlays, and other protectable elements independent of the underlying spoken discussion. Nothing in these Terms shall be construed as granting Client any right to reproduce the Transcript Library’s structure, recreate its taxonomies, rebuild similar content architecture, or claim ownership in any part of the Transcript Library or Transcript Content.

6. Redistribution Prohibition

Client shall not reproduce, republish, upload, post, transmit, display, distribute, store, archive, mirror, license, sell, rent, lease, lend, circulate, or otherwise exploit any Transcript Content without prior written authorization from Insight Alpha. This prohibition applies whether such redistribution is for monetary value, internal convenience, knowledge management, or any other purpose.

Without limiting the foregoing, Client shall not place Transcript Content into shared drives accessible by unauthorized persons, public or semi-public repositories, internal knowledge bases with unrestricted access, investment committee packs circulated externally, investor letters, memorandum appendices, client presentations, newsletters, blogs, podcasts, websites, social posts, product demos, or any other medium that would permit reuse beyond the scope of the license granted herein. Any permitted download or export shall remain subject to all restrictions in these Terms.

7. Confidentiality Obligation

Client acknowledges and agrees that the Transcript Library and Transcript Content are confidential and proprietary to Insight Alpha and shall be treated with at least the same degree of care that Client uses to protect its own confidential information of a similar nature, and in no event less than a reasonable degree of care. Client shall restrict access to the Transcript Library and Transcript Content strictly on a need-to-know basis to Authorized Users and shall maintain reasonable administrative, technical, and organizational safeguards to prevent unauthorized access, use, copying, loss, or disclosure.

Client shall not disclose Transcript Content except as expressly permitted under these Terms. In the event Client becomes aware of any unauthorized access, misuse, breach, credential compromise, leakage, or suspected disclosure relating to the Transcript Library or Transcript Content, Client shall promptly notify Insight Alpha in writing, cooperate in investigating the issue, take immediate remedial action, and provide such information as Insight Alpha may reasonably request in connection with containment and mitigation.

8. Attribution Restrictions

Client may internally consider and discuss themes, insights, or observations derived from Transcript Content, but Client shall not identify, quote, paraphrase in an attributable manner, cite, or otherwise present any statement as having been made by a specific expert, participant, moderator, or by Insight Alpha, unless prior written consent has been obtained from Insight Alpha. Client shall not imply that any expert or Insight Alpha endorses Client, Client’s views, Client’s investment thesis, Client’s recommendations, or any transaction or decision of Client.

Client shall not use the name, likeness, title, firm affiliation, biography, credentials, transcript title, or any other identifying detail from the Transcript Library in a manner that could reasonably permit attribution, re-identification, or inference of endorsement. Any internally prepared materials using learnings from Transcript Content should be framed as Client’s own internal analysis and not as a direct or attributable statement of an identified third party unless explicitly permitted.

9. Expert Identity Protection

Insight Alpha may, in its discretion, anonymize, redact, pseudonymize, partially reveal, or otherwise limit information relating to expert identity, employer identity, participant identity, or other identifying details in order to satisfy contractual, legal, privacy, regulatory, reputational, or compliance obligations. Client shall respect all such identity-protection measures and shall not attempt to defeat, bypass, reverse, infer, triangulate, or reconstruct any redacted or anonymized identity.

Client shall not combine Transcript Content with other internal or external datasets for purposes of re-identification, contact tracing, profiling, or inferring the identity of an expert, participant, or source. Any attempt to deduce or confirm a protected identity through pattern matching, internet research, outreach, cross-referencing, or other means shall be deemed a material breach of these Terms.

10. Expert Circumvention Restriction

Client agrees that it shall not, directly or indirectly, circumvent Insight Alpha with respect to any expert, participant, speaker, moderator, or source identified, inferable, or introduced through the Transcript Library or Transcript Content. Without prior written consent from Insight Alpha, Client shall not directly or indirectly contact, engage, recruit, retain, hire, consult with, contract with, or otherwise obtain services from any such person outside Insight Alpha’s platform, workflows, or approved processes for a period of twelve (12) months from the date on which such person was identified to Client, or such longer period as may be set forth in the governing commercial agreement.

This restriction applies whether the identity is fully disclosed, partially disclosed, anonymized but inferable, or discovered through reasonable inference from the Transcript Content. Client shall not use information obtained from the Transcript Library to source, identify, or bypass Insight Alpha’s role in connection with any expert-led engagement.

11. Non-Solicitation of Experts

Client shall not solicit or induce any expert, participant, or source identified through the Transcript Library to provide consulting, advisory, employment, board, project-based, freelance, paid, unpaid, or other services to Client or any third party outside Insight Alpha’s expressly approved channels. Client shall not use the Transcript Library as a sourcing tool for recruiting, hiring, talent mapping, board searches, diligence panels, operating partner networks, advisory councils, or expert databases without Insight Alpha’s prior written approval.

Client further agrees not to encourage, assist, or facilitate any third party in soliciting or engaging such experts outside Insight Alpha. Any attempt to route contact indirectly through affiliates, recruiters, consultants, portfolio companies, or third parties shall also constitute prohibited circumvention and non-solicitation conduct.

12. AI and Machine Learning Restrictions

Client shall not upload, submit, input, feed, transfer, or otherwise make available any Transcript Content, in whole or in part, to any artificial intelligence system, machine learning model, large language model, generative AI service, foundation model, embedding model, vector database, retrieval system, autonomous agent, automated summarization engine, model fine-tuning workflow, benchmarking environment, or similar computational system for the purpose of training, fine-tuning, retraining, improving, validating, evaluating, or enhancing such system, unless Insight Alpha has provided prior written consent expressly authorizing such use.

Without limiting the foregoing, Client shall not use Transcript Content to build proprietary datasets, prompt libraries, evaluation corpora, semantic indexes, synthetic-data pipelines, knowledge graphs for external exploitation, or AI-generated outputs intended to replicate, replace, or compete with the Transcript Library. Client shall not strip, batch-process, embed, chunk, tokenize, vectorize, or transform Transcript Content into machine-readable training or inference datasets except as expressly permitted in writing by Insight Alpha. Any consent granted by Insight Alpha may be subject to additional terms, controls, audit rights, technical limitations, usage logs, or pricing.

13. Data Scraping Restrictions

Client shall not scrape, crawl, spider, mine, harvest, bulk-download, bulk-export, bulk-capture, or otherwise systematically extract Transcript Content, metadata, search results, titles, tags, expert profiles, or other information from the Transcript Library by automated, semi-automated, or repetitive manual means. Client shall not engage in any activity designed to collect content at scale, copy a substantial portion of the Library, or recreate an offline or alternative repository of the Transcript Library.

Prohibited conduct includes, without limitation, repeated page capture, scripted downloads, rotating-user extraction, use of APIs not authorized by Insight Alpha, metadata harvesting, automated search cycling, or other conduct intended to bypass usage limits, technical controls, or the intended user experience of the Transcript Library.

14. Automated Tools Prohibition

Client shall not use bots, scripts, macros, browser automation tools, robotic process automation, auto-refresh mechanisms, browser plugins, scraping extensions, auto-clickers, headless browsers, or any other automated technology to access, interact with, extract from, or monitor the Transcript Library without Insight Alpha’s prior written approval. Client shall also not use any tool or technique intended to disguise, mask, rotate, or falsify the identity of the user or device accessing the Transcript Library.

Any access that places unreasonable or disproportionate load on the platform, interferes with normal operation, circumvents throttling, or defeats session-management or download controls shall be strictly prohibited. Insight Alpha may suspend access immediately if it reasonably suspects automation, abnormal usage, or attempts to circumvent platform controls.

15. Reverse Engineering Prohibition

Client shall not reverse engineer, decompile, disassemble, decode, copy, emulate, map, model, analyze, reconstruct, or otherwise attempt to derive the source code, source data structure, architecture, underlying ideas, workflows, ranking logic, search methodology, prompt structure, database schema, tagging framework, moderation process, or content-generation process of the Transcript Library or any part thereof, except to the limited extent such restriction is prohibited by applicable law and cannot be contractually excluded.

Client shall not create derivative products, substitute services, competing libraries, cloned interfaces, lookalike datasets, or functionality that replicates the Transcript Library’s content organization, taxonomy, summaries, search outputs, or compliance-enhanced transcript workflows. Client shall not use the Transcript Library for competitive intelligence directed at reproducing Insight Alpha’s service offering.

16. Content Integrity

Client shall not edit, alter, manipulate, distort, selectively excerpt, misframe, mistranslate, mischaracterize, or otherwise modify Transcript Content in a manner that changes the original meaning, creates a misleading impression, or falsely suggests a statement, conclusion, endorsement, or factual position that is not supported by the original discussion. If Client prepares internal notes or summaries based on Transcript Content, Client shall ensure that such materials are clearly identified as internal derivative analysis and not as official or verbatim Insight Alpha content unless they are exact authorized reproductions.

Client shall not remove context, disclaimers, compliance labels, anonymization markers, or other content qualifiers included by Insight Alpha. Client acknowledges that excerpted content, if separated from its full context, may create interpretive risk, and Client assumes responsibility for ensuring that any internal use does not misrepresent the source discussion.

17. Compliance with Laws

Client shall access and use the Transcript Library in compliance with all applicable laws, rules, and regulations, including but not limited to securities laws, insider trading laws, anti-corruption laws, sanctions laws, export control laws, data protection laws, intellectual property laws, and any applicable industry-specific rules or supervisory obligations. Client shall ensure that its use of the Transcript Library is consistent with its own internal legal, compliance, risk, and information-security policies.

Client shall not use the Transcript Library in any unlawful manner, for any unlawful purpose, or in a manner that would cause Insight Alpha, its experts, or other participants to be placed in legal, regulatory, or contractual jeopardy. Client shall be solely responsible for determining whether and how the Transcript Library may be used within Client’s jurisdiction, business line, regulatory perimeter, investment process, or control environment.

18. Material Non-Public Information (MNPI)

The Transcript Library is intended to contain content that has been screened and curated to exclude material non-public information to the extent reasonably practicable; however, Client acknowledges that compliance risk cannot be eliminated entirely and that Client bears independent responsibility for evaluating the appropriateness of its use of any Transcript Content. Client shall not use the Transcript Library to seek, obtain, validate, triangulate, solicit, trade upon, or disseminate material non-public information or any other information that may not lawfully be used or shared.

If Client believes that any Transcript Content may contain material non-public information, confidential company information, export-controlled information, trade secrets, or other restricted information, Client shall immediately cease further use of the relevant content, refrain from dissemination, quarantine the material internally, and promptly notify Insight Alpha so that appropriate review, removal, redaction, or other corrective action may be considered. Client shall not trade, recommend trading, or cause others to trade on the basis of any suspected restricted information.

19. Regulatory Compliance

Client acknowledges that the use of transcript-based research may be subject to internal and external compliance obligations, including supervisory review, restricted-list controls, wall-crossing procedures, personal account dealing policies, information-barrier controls, recordkeeping requirements, and internal approval protocols. Client agrees that it is solely responsible for implementing and following any such requirements applicable to its business and personnel.

Where Client is regulated by a financial, professional, governmental, or industry authority, Client shall ensure that Transcript Content is reviewed, circulated, stored, and used only in a manner consistent with such regulatory obligations. Insight Alpha shall have no responsibility for monitoring Client’s internal compliance approvals, restricted lists, or investment decision-making process.

20. Independent Judgment

Client acknowledges that the Transcript Library is one of many possible research inputs and that any conclusions, decisions, recommendations, diligence outcomes, strategies, allocations, transactions, or other actions taken by Client shall be based solely on Client’s own independent review, analysis, diligence, and judgment. Insight Alpha does not assume any advisory, fiduciary, discretionary, or decision-making role on behalf of Client.

Client further acknowledges that transcript content often reflects opinion, perspective, recollection, inference, and discussion rather than verified fact. Client remains solely responsible for independently assessing relevance, credibility, and sufficiency before relying on any Transcript Content for internal or external decision-making.

21. No Professional Advice

Transcript Content is provided for informational and research purposes only and does not constitute, and shall not be construed as, investment advice, legal advice, tax advice, accounting advice, audit advice, medical advice, therapeutic advice, regulatory advice, or any other professional advice or recommendation. Nothing contained in the Transcript Library is intended to serve as a solicitation, offer, endorsement, recommendation, or opinion regarding any security, investment, transaction, strategy, legal position, tax treatment, or business course of action.

Client shall not represent to any person that Insight Alpha or any Transcript Content has provided professional advice to Client. To the extent Client requires legal, tax, regulatory, accounting, medical, or other specialized advice, Client shall seek advice from its own qualified advisers.

22. Accuracy Disclaimer

Insight Alpha does not warrant or guarantee the accuracy, completeness, timeliness, reliability, legality, usefulness, merchantability, fitness for a particular purpose, non-infringement, or continued availability of the Transcript Library or any Transcript Content. Transcript Content may include human error, transcription error, summarization error, omission, outdated information, opinion, interpretation, forward-looking statements, market rumor, incomplete responses, or contextual limitations. Client acknowledges that recordings, transcripts, summaries, and AI-assisted features may not perfectly reflect the underlying discussion and may contain inaccuracies, formatting inconsistencies, or interpretive limitations. Client assumes all risk associated with reliance upon Transcript Content, and Insight Alpha disclaims any obligation to verify, correct, update, supplement, or maintain any particular item of content.

23. Availability Disclaimer

Insight Alpha does not guarantee that the Transcript Library will be uninterrupted, error-free, secure, or available at all times. Access may be affected by scheduled maintenance, emergency maintenance, system upgrades, compliance review, content moderation, security incidents, force majeure events, third-party service interruptions, internet outages, or other technical or operational issues. Insight Alpha may modify, suspend, restrict, withdraw, or discontinue any part of the Transcript Library, features, content categories, search functionality, export capability, or availability of specific transcripts at any time. Client acknowledges that transcripts or features may be removed, delayed, reclassified, redacted, restricted, or reprocessed for legal, compliance, editorial, privacy, contractual, or technical reasons. Insight Alpha shall not be liable for any loss arising from temporary or permanent unavailability of the Transcript Library or any specific content item.

24. Usage Monitoring

Client acknowledges and agrees that Insight Alpha may monitor, log, review, and analyze usage of the Transcript Library for legitimate business purposes, including user authentication, platform administration, security, fraud prevention, compliance review, misuse detection, service optimization, billing validation, technical troubleshooting, and enforcement of these Terms. Such monitoring may include review of login activity, device and browser data, IP information, pages viewed, searches performed, watchlists, downloads, exports, time spent, access frequency, and other usage signals.

Client agrees that Insight Alpha may use such records to investigate suspected misuse, unauthorized sharing, abnormal behavior, automated extraction, security incidents, or breach of these Terms. Nothing in these Terms obligates Insight Alpha to actively police all Client activity, and any failure to detect misuse shall not be deemed a waiver of Insight Alpha’s rights.

25. Usage Analytics

Insight Alpha may collect, compile, and use aggregated, statistical, de-identified, and/or anonymized usage information derived from Client’s use of the Transcript Library for purposes of analytics, benchmarking, service administration, feature enhancement, model evaluation (to the extent not based on prohibited Transcript Content reuse by Client), customer support, capacity planning, reporting, product development, quality improvement, and general business operations. Such information shall not identify Client or any individual Authorized User except as reasonably necessary for service delivery, support, billing, security, or legal compliance.

Client acknowledges that generalized platform metrics, usage trends, search trends, and engagement statistics may be used by Insight Alpha to improve and market its services, provided that Insight Alpha does not disclose Client’s confidential information in a manner inconsistent with applicable law or contractual obligations.

26. Security Obligations

Client shall implement and maintain reasonable technical and organizational measures to safeguard access credentials and Transcript Content from unauthorized access, disclosure, copying, misuse, loss, theft, or compromise. Such measures shall include, as appropriate, strong password practices, access on a least-privilege basis, timely deactivation of departed employees, secure endpoint controls, patching, antivirus or endpoint protection, avoidance of insecure storage locations, and restrictions on forwarding or downloading content to unmanaged devices or environments.

Client shall ensure that credentials are kept confidential and are not shared, stored insecurely, or embedded in scripts or automation tools. Client shall promptly notify Insight Alpha of any actual or suspected account compromise, malware event, unauthorized disclosure, or security breach affecting the Transcript Library or Transcript Content. Client shall cooperate in good faith with any reasonable security-related measures requested by Insight Alpha, including password resets, account suspension, access revalidation, or incident review.

27. Limitation of Liability

To the maximum extent permitted by applicable law, Insight Alpha and its affiliates, officers, directors, employees, contractors, licensors, experts, content providers, and agents shall not be liable to Client for any indirect, incidental, consequential, special, exemplary, punitive, or loss-of-profit damages, or for any loss of revenue, loss of business opportunity, loss of goodwill, loss of anticipated savings, loss of data, business interruption, or procurement of substitute services, arising out of or relating to the Transcript Library, Transcript Content, or these Terms, even if advised of the possibility of such damages.

Without limiting the foregoing, Insight Alpha shall not be liable for any losses arising from Client’s reliance on Transcript Content, use of outdated or inaccurate information, regulatory decisions, investment or business outcomes, access interruptions, security incidents not caused by Insight Alpha’s willful misconduct, or misuse of the Transcript Library by Client or its personnel. To the extent a liability cap is required under the parties’ governing agreement, the aggregate liability of Insight Alpha for any claim arising out of or relating to these Terms shall not exceed the fees paid by Client for the relevant Transcript Library subscription during the twelve (12) months preceding the event giving rise to the claim, unless the governing written agreement expressly states otherwise.

28. Indemnification

Client shall defend, indemnify, and hold harmless Insight Alpha, its affiliates, and their respective officers, directors, employees, contractors, licensors, and agents from and against any and all claims, actions, proceedings, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) Client’s or any Authorized User’s breach of these Terms; (b) Client’s misuse of the Transcript Library or Transcript Content; (c) unauthorized sharing, redistribution, or disclosure of Transcript Content by Client or through Client’s accounts; (d) Client’s violation of applicable law, regulation, or third-party rights; (e) Client’s circumvention or solicitation of experts in violation of these Terms; or (f) Client’s prohibited use of Transcript Content in connection with AI, machine learning, automated extraction, competitive replication, or unlawful trading activity.

Insight Alpha reserves the right, at its own expense, to participate in the defense of any matter subject to indemnification hereunder. Client shall not settle any indemnified claim in a manner that imposes liability, admission, or non-monetary obligation on Insight Alpha without Insight Alpha’s prior written consent.

29. Suspension or Termination

Insight Alpha may suspend, restrict, disable, or terminate Client’s or any Authorized User’s access to the Transcript Library immediately, with or without prior notice, if Insight Alpha reasonably believes that: (a) Client has breached these Terms; (b) access is being used in a manner that creates legal, regulatory, contractual, reputational, cybersecurity, or platform-integrity risk; (c) Client has failed to pay applicable fees when due; (d) Client is engaging in suspicious, excessive, automated, or unauthorized access behavior; or (e) suspension is necessary to protect Insight Alpha, its experts, other users, or the platform. Upon expiration or termination of the applicable subscription or access right, Client shall immediately cease using the Transcript Library, and any license granted under these Terms shall automatically terminate. Clauses that by their nature should survive termination, including without limitation those relating to confidentiality, intellectual property, redistribution restrictions, AI restrictions, attribution restrictions, non-circumvention, indemnification, limitation of liability, and governing agreement, shall survive.

30. Governing Agreement

These Terms are intended to supplement and form part of the governing client agreement, master services agreement, order form, subscription agreement, proposal, or other written commercial instrument between Insight Alpha and Client. In the event of any conflict between these Terms and the governing written agreement, the governing written agreement shall control solely to the extent of the conflict, unless such agreement expressly states that these Terms shall prevail with respect to Transcript Library use.

If no separate governing written agreement exists, these Terms shall govern Client’s access to and use of the Transcript Library in full.
